Terms & Conditions
This Agreement is hereby read, approved, understood and accepted by the undersigned Owner/Agent who has received a copy of the same. Signature hereon shall constitute the Company's authority to proceed with work.
This Agreement contains the entire agreement between Owner/Agent and the Company. There is to be no waiver, change or modification of this "Agreement" unless same is in writing and signed by Owner/Agent and the Company.
Performance of the Work: Rescue Clean 911 agrees to perform and necessary or incidental to the Work. Rescue Clean 911 shall provide all labor, equipment, tools and materials necessary to complete contracted Work. The Work shall be performed in a good and workmanlike manner, in accordance with this "Agreement" and in compliance with all applicable laws, rules, regulations and standards applicable to such Work. The intent of the "Agreement" is to include all items necessary for the proper execution and completion of the Work by Rescue Clean 911. This "Agreement" forms the entire contract between the parties and supersedes all prior or contemporaneous negotiations and communications.
Safety: Rescue Clean 911 shall be responsible for all safety precautions and requirements related to or arising out of its Work. Rescue Clean 911 shall take reasonable precautions for safety of and shall provide reasonable protection to prevent damage, injury or loss to: (i) employees on the Work and other people who may be affected thereby. (ii) the Work and materials and equipment to be incorporated therein, whether in storage on or off Project, under care, custody or control of Rescue Clean 911 or its subcontractors whatever tier, and (iii) other property at the Project or adjacent thereto, such as trees, shrubs, lawns, walks, pavements roadways structures and utilities. Rescue Clean 911 shall erect and maintain, as required by existing conditions and performance of the Agreement, reasonable safeguards for safety and protection, including posting danger signs and other warnings against hazard, promulgating safety regulations and notifying owners, visitors and users of adjacent sites and utilities.
General Exclusions: The following conditions are NOT within the scope of the Work: (1) indoor air quality, unless contracted (2) presence of toxic matter: (3) environmental hazards related but not limited to asbestos, lead paint radon urea formaldehyde insulation; Chinese drywall, or water quality: (4) items that are obstructed, inaccessible or not in plain view; (5) defects other than those associated with current visible conditions conducive to potential mold growth; (6) the activation or the serviceability of any systems or components; (7) the dismantling of any system, structure or component, or any intrusive or destructive examination; (8) systems, components, or structures not specifically identified in this Proposal; (9) the use of electronic or special equipment to detect or verify the presence of mold conducive conditions except where contracted with Client; (10) determining compliance with any codes ordinances, or regulations. Additionally, the following components or systems are NOT within the scope of Work: security systems appliances; sprinkler systems; pool systems; hot tub/spa/whirlpool/bath/shower systems; intercom/audio systems; antennas; central vacuums; water softeners and filters; wells; septic systems; latent defects; adequacy of system designs; zoning or building code compliance.
Information Needed: Client shall provide Rescue Clean 911 with complete available information regarding known relevant or potentially relevant facts about the history of all structures erected upon, and the conditions present in and around the property. Our client is responsible for advising Rescue Clean 911 of the known existence of hazardous substances (including chemicals, lead, asbestos, etc.) or areas of possible danger.
Access & Security: Client agrees to provide access to the property for Clean 911's employees, agents, subcontractors, and their vehicles and equipment as required to properly perform the Work, where applicable, to manage the remediation process. Clients will provide areas for storage of equipment, materials and debris. Client Will provide all water, electricity, and other utilities necessary for Rescue Clean 911 to perform the Work. Clients will take all reasonable steps necessary to secure all structures on the property from unauthorized access.
Unrelated Conditions to Work: Client acknowledges and agrees that Rescue Clean 911 is not responsible for addressing or correcting damage conditions or areas unrelated to the event that necessitated the Work.
Choice of Forum: Any dispute arising out of this Agreement shall be resolved in the State Court located in West Palm Beach, Florida or the Federal Court for the Southern District of Florida, unless otherwise provided for in this Agreement. The prevailing party in any dispute arising out of this Agreement shall be entitled to reimbursement of all costs of collection, including, but not limited to, attorneys fees (inclusive of costs on appeal and cost of supplementary procedures after judgment), and other costs related to enforcing the terms of this Agreement, regardless of whether litigation is initiated. This paragraph shall survive the termination of this Agreement.
Authorized Chemical/Antimicrobial Agents: Owner/Agent understands, agrees and authorizes the Company to use its best judgment of how materials may be treated with any Commercial Plant base antimicrobial agent and or chemical to inhibit the growth of micro-organisms during the drying odor neutralization process. Owner/Agent has received advanced notice of the use of antimicrobial/chemical and/or antimicrobial/chemical product as part of the restoration process. Chemicals used are based on the IICRC (Institute of Inspection Cleaning and Restoration) certification for the S500, S520, S540 and S700. SDS sheet can be provided upon request of Agent/Client.
Stop Work Hold Harmless: Owner/Agent understands that it is beyond the expertise of the Company to determine whether any person will be or become sensitive to its application and agrees to hold the Company, its employees, officers: agent or representatives harmless for the use of its' products. In the event the Company is not allowed to perform its recommended procedures and/or drying equipment is removed prematurely, the Owner/Agent agree to release and hold the Company harmless and indemnify the Company against any and all claims or actions that may result from such procedures.
Special/Fragile/Valuable Items: Client agrees to take full responsibility for special, fragile or valuable items of personal property, and that Rescue Clean 9111 shall not be liable for mysterious disappearances or damage to any such items. Rescue Clean 911 highly recommends that Client take care to protect such items as soon as possible, preferably prior to the start of Work (especially jewelry, cash, weapons, medications, etc.).
Terms of Payment: Will be indicated on the front of the agreement or on the estimate sent and may vary depending on the size of the invoice and scope of work.
Florida Lien Law Warning: ACCORDING TO FLORIDA'S CONSTRUCTION LIEN LAW (SECTIONS 713.001-713.37, FLORIDA STATUTES), THOSE WHO WORK ON YOUR PROPERTY OR PROVIDE MATERIALS AND SERVICES AND ARE NOT PAID IN FULL HAVE A RIGHT TO ENFORCE THEIR CLAIM FOR PAYMENT AGAINST YOUR PROPERTY. THIS CLAIM IS KNOWN AS A CONSTRUCTION LIEN. IF YOUR CONTRACTOR OR A SUBCONTRACTOR FAILS TO PAY SUBCONTRACTORS, SUBSUBCONTRACTORS, OR MATERIAL SUPPLIERS, THOSE PEOPLE WHO ARE OWED MONEY MAY LOOK TO YOUR PROPERTY FOR PAYMENT, EVEN IF YOU HAVE ALREADY PAID YOUR CONTRACTOR IN FULL. IF YOU FAIL TO PAY YOUR CONTRACTOR, YOUR CONTRACTOR MAY ALSO HAVE A LIEN ON YOUR PROPERTY. THIS MEANS IF A LIEN IS FILED YOUR PROPERTY COULD BE SOLD AGAINST YOUR WILL TO PAY FOR LABOR, MATERIALS, OR OTHER SERVICES THAT YOUR CONTRACTOR OR SUBCONTRACTOR MAY HAVE FAILED TO PAY. TO PROTECT YOURSELF, YOU SHOULD STIPULATE IN THIS CONTRACT THAT BEFORE ANY PAYMENT IS MADE, YOUR CONTRACTOR IS REQUIRED TO PROVIDE YOU WITH A WRITTEN RELEASE OF LIEN FROM ANY PERSON OR COMPANY THAT HAS PROVIDED TO YOU: A "NOTICE TO OWNER." FLORIDA'S CONSTRUCTION LIEN LAW IS COMPLEX, AND IT IS RECOMMENDED THAT YOU CONSULT AN ATTORNEY.
